1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Go Re-up ("the Service"), operated by GoGo Web Design ("we," "our," or "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Go Re-up is a software-as-a-service (SaaS) platform that enables health and wellness practitioners to automate recurring supplement orders for their patients. The Service connects to your Shopify store to sync products, create draft orders, and send payment links or subscription checkout links to your patients on a recurring schedule.

Go Re-up is a technology platform. It is not a medical device, a pharmacy, a supplement dispensary, or a healthcare provider. We do not manufacture, distribute, sell, or fulfill any supplements or products.

3. Eligibility

To use the Service, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. You represent that you have the authority to bind any entity on whose behalf you use the Service.

4. Your Account

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription & Billing

The Service is offered on a monthly subscription basis at the price displayed on our website at the time of purchase. Billing is processed by Stripe.

  • Subscriptions renew automatically each month unless canceled.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • We do not offer refunds for partial months of service.
  • We reserve the right to change pricing with 30 days' advance notice. Existing subscribers will be notified by email before any price change takes effect.

6. Acceptable Use

You agree to use the Service only for its intended purpose. You may not:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Send unsolicited communications (spam) to patients who have not consented to receive communications from you
  • Store protected health information (PHI), medical diagnoses, health conditions, or treatment records in the Service
  • Impersonate another person or misrepresent your affiliation with any entity
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to send communications that violate your agreements with Shopify, supplement suppliers, or any other third party
  • Resell, sublicense, or redistribute access to the Service without our written consent

7. Your Responsibilities as a Practitioner

By using the Service, you acknowledge and agree that:

  • Patient consent: You are solely responsible for obtaining appropriate consent from your patients before adding their information to the Service and before sending them payment links, subscription invitations, or any other communications through the Service.
  • Regulatory compliance: You are responsible for complying with all applicable laws, regulations, and professional standards governing your practice, including but not limited to regulations related to supplement sales, patient communications, and data privacy in your jurisdiction.
  • Shopify compliance: You are responsible for complying with Shopify's Terms of Service, Acceptable Use Policy, and any agreements with your supplement suppliers. Go Re-up is not responsible for your compliance with Shopify's policies.
  • Product accuracy: You are responsible for ensuring that the products in your Shopify store and the protocols you create are appropriate for your patients. Go Re-up does not verify, validate, or approve any products or protocols.
  • No health data: You agree not to store any protected health information, diagnoses, medical conditions, or treatment information in the Service. Protocol names and descriptions must not contain health-related information.
  • Data controller obligations: You act as the data controller for any patient personal data entered into the Service. You are responsible for complying with applicable data protection laws, including responding to patient data access, correction, or deletion requests.

8. Third-Party Services

The Service integrates with third-party platforms including Shopify, Stripe, and Resend. Your use of these services is governed by their respective terms and policies. We are not responsible for the availability, accuracy, or performance of third-party services.

If Shopify, Stripe, or any other integrated service experiences downtime, changes their API, or modifies their terms in a way that affects the Service, we will make reasonable efforts to address the issue but cannot guarantee uninterrupted service.

9. Intellectual Property

The Service, including its design, code, features, and documentation, is the intellectual property of GoGo Web Design. You may not copy, modify, distribute, or create derivative works of the Service.

You retain ownership of all data you enter into the Service, including your patient data, protocols, and templates. We claim no intellectual property rights over your content.

10. Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We act as a data processor for patient data you enter into the Service. You remain the data controller and are responsible for ensuring lawful processing of patient data.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Emails will always be delivered successfully to patients
  • Shopify draft orders or subscriptions will always be created successfully
  • The Service will meet your specific requirements

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOGO WEB DESIGN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless GoGo Web Design from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including patient privacy rights
  • Communications sent to patients through the Service
  • Products sold through your Shopify store

14. Termination

You may terminate your account at any time by canceling your subscription and contacting us to request account deletion. We may suspend or terminate your account if you violate these Terms or for any other reason with 30 days' notice.

Upon termination, your access to the Service will cease. We will delete your account data within 30 days of termination, unless we are required to retain it by law.

15. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in the State of Florida.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
